PhD+ Startup: License Structure and Stakeholders

Our goal for this discussion is to become more familiar with the components and structure of a license agreement that describes the relationship between a University (including faculty, et al.) and a Company — both sets of stakeholders hoping to make the most of the patented invention(s)/discovery being licensed. 
During the session, you will break into pairs to "negotiate" terms in the sample agreement. One person in each pair will play the role of Harvard, while the other will play the roll of Syndexa. The terms you will negotiate will be those blanks on pages 9-12 of the sample agreement.
